Anyone in the world By Lance Winslow Some franchising companies will use the method of selling master franchisees in specific regions to expand their brand-name and grow their companies. Each time a master franchisees sold a new marketing area in region of influence will be established, where the master franchises will in turn sell other franchises. The marketing area will need to be clearly defined and delineated on a map and a description of what the marketing area will consist of must also be clearly stated in the franchising agreements. It is for this reason that below I have listed a clause which I put into our franchise agreements for our master franchises which discusses the marketing area for master franchise operations; 1.2 Marketing Area Franchisee is hereby granted a nonexclusive Marketing Area defined by geographic boundaries as determined by Franchisor in its sole discretion after giving considerations to relevant demographic information, including the number of vehicles, population and demographics, the actual boundaries of which are set forth on Exhibit 1 attached to this Agreement. Franchisee may not conduct any advertising that is circulated outside the Marketing Area or otherwise solicit customer accounts that are located outside the
Marketing Area without the prior written consent of Franchisor. Franchisee may not solicit customers within the Marketing Area with respect to Services that would be provided to such customers both within and outside the Marketing Area (such customer being referred to as a National or International Account) without the prior written consent of Franchisor. In the event Franchisee enters into an agreement to provide Services to a National or International Account, Franchisees agreement in respect thereof must provide that Services for locations other than in the Marketing Area must be subcontracted to other Car Wash Guys Franchisees in their licensed marketing areas (Other Franchisees), if any. Franchisor, in its discretion, may establish other Franchisees who may advertise and solicit customer accounts within the Marketing Area and who may be in competition with Franchisee. In addition, Franchisor retains the right to solicit and sell National or International Accounts within the Marketing Area, including but not limited to solicitation and sales via direct marketing campaigns, telemarketing, and by use of the Internet and other on-line computer networks. Franchisee may not, directly or indirectly, sell, offer to sell, or provide any of the Services to any person or legal entity that is under contract with, is a current customer of, or was invoiced within the previous six (6) months (Customer Accounts) by, another Car Wash Guys Franchisee who has been granted a marketing area that overlaps (in part or whole) with the Marketing Area described in this Section 1.2 and Exhibit 1 of this Agreement (Overlapping Franchisee). The provisions of this paragraph shall apply only to Customer Accounts in which the customer is located in both Franchisees Marketing Area and in a Overlapping Franchisees marketing area (Overlapping Territory), and are intended to be broadly interpreted to prevent Franchisee from directly or indirectly interfering with any of the customer relationships that have been established by an Overlapping Franchisee in Overlapping Territory. The provisions of this paragraph shall not apply if Franchisee obtains written permission, granted by the President, Vice President or Continent Franchisor Director (CFD) of the Franchisor, to engage in conduct that otherwise is prohibited in this paragraph. If Franchisee violates any of the provisions of this paragraph, Franchisee shall pay to the Overlapping Franchisee(s) forty-three point five percent (43.5%) of the revenue derived from the Customer Accounts that caused Franchisee to violate this paragraph. Such revenue must be paid to the Overlapping Franchisee(s) with ten (10) calendar days of receiving such revenue, for so long as Franchisee receives revenue from those Customer Accounts. Despite your best efforts, your extended family situation can become extremely difficult to live with. Whether you are the host or the person in need of assistance, it is important to establish a few ground rules to keep the environment functioning harmoniously. If you dont establish a few things upfront, emotions could flare up and result in arguments and sometimes even physical violence. Here are some helpful suggestions that will allow you to preserve your relationship with your loved ones: DO: Meet with family members to discuss expectations (yours and theirs) during the extended stay. Familiarize your new guest with how things currently work in your household. Be sure to cover items that you are a stickler about (i.e., no shoes on in the house, no eating outside of the kitchen or nook area, smoking, computer usage, etc.).DONT: Dont assume that your family members have been observant enough to know what you want done in your home or how to do it. If your family member didnt have a dishwasher or high tech appliances in their home, they may be apprehensive about using yours. The same goes for high tech electronics and other gadgets. Show your relative how to use your gadgets without altering your favorite settings. Another important point is usage of your personal computer. Let them know if your office pc is off limits. Additionally, let them know what to do to avoid downloading viruses and spyware onto your PC. DO: Whenever possible, carve out a space or room where your extended family members can store personal items or have some privacy. They may still need to iron out some very personal matters in private. If a full bedroom is unavailable, provide a kitchen cabinet or drawer to help them to stay organized and keep their clutter out of your site. If this is not a good option, consider a room divider or curtains. DONT: Dont move your guests to a different place in your home every week. Think ahead about the most convenient place to make their temporary residence. If you know that the individual is a junky monkey, then dont put them up near the entrance of your home or in areas frequented by your friends and business associates. It will cause a lot of unnecessary frustration for you and your relative. DO: Do consider your guests dietary requirements. There are many people who are vegetarians or who exclude pork and beef from their diets. If your guests culinary preferences are too extreme, direct them to a place where they can purchase food or dine the way they normally do without inconveniencing you. You can also invite them to prepare their favorite dish as a way to make them more comfortable and to allow your family to experience a new cuisine. DONT: Dont expect your guests to eat salty, sugary, or high-fat foods, if they have indicated theyve given them up for health reasons. Simply invite them to participate in the meal preparation or sit a portion of the meal aside prior to adding the salt or sugar that suits your taste. DO: Solicit your guests participation in chores, errands, childcare, and bill paying regardless of how brief you intend for their stay to be. Youll only handicap them by being too accommodating. If your guest has a cash flow problem and is unable to pay rent or a bill, they can still assist with chores, errands, or childcare. If they have a small amount of income, give them the responsibility of replenishing grocery items that are consumed quickly like milk, juice, fruit, bread, and cereal. DONT: Dont allow anyone to stay in your home without getting them to acknowledge the importance of making a contribution. They need to commit to doing something consistently to sustain the household. The well being of your household is of extreme importance to you and should be to them. Guests sometimes assume that because they spend the majority of their time in their designated room or area, that there is no need to contribute or be concerned with the maintenance of the rest of the house. DO: Create a sign-up schedule for shared resources to avoid arguments. People tend to want to cook or wash at the same time someone else planned to do so. Disagreements about laundry, transportation, exercise equipment, computers, TVs and other media can become a huge problem very quickly. DONT: Dont allow your guests last minute activities to disrupt the entire household. Make your family planning calendar accessible so that your guest can advise everyone of his or her schedule far enough in advance. Transportation and other major issues should be discussed and resolved in advance. DO: Insist that your guest continues to be the primary caregiver for their offspring. If your guest has a child, take steps to childproof your home immediately. Put away razors, matches, chemicals, and other harmful objects. Also, discuss sensitive issues like excessive noise, running through the house, bedwetting, and items that are off limits before problems arise.DONT: Allow your guest to be careless with things that you cherish. Be sure to protect your valuables if you are accommodating guests with children. Make it clear that your guest should monitor their children at all times. If items are broken or damaged, advise your guest of how the incident should be handled (i.e., replace the item, clean the carpet, etc.). DO: Do consider your guests likes, dislikes, (and their habits) before inviting them to stay at your home. You may get along just fine with your guest but what about their friends, family, and significant others? Does your guest expect to entertain and accommodate others at your expense? It shouldnt happen but it can if you dont address the issue up front. Is your guest a night owl? You should know these things in advance. Dont: Allow guests to disrespect your home. Communicate your feelings about late night visitors, smoking, drinking, parties, loud noise, etc. What you consider to be "out of bounds" may just be the norm with your visitor DO: Offer to provide your guest with the resources they need to get up to speed. Help with an online job search or a resume. Put them in contact with a business associate who may know of an opportunity. Be inspirational and uplifting DONT: Buy into excuses that will result in you accommodating your relative much longer than the time you both originally agreed to. Dont participate in the family gossip sessions that only serve to anger and alienate. Dont discuss your guests personal problems with others without their permission. It could cause unnecessary family rifts. Treat them as you would want to be treated if the situation was reversed. Now that youre in sync with the Dos and Donts of living with extended family, think about what a blessing it is to have friends and family to share your home with in the first place! Stay optimistic about the situation and things are sure to work out. Invest a little time to help them get back on track with a career. Be encouraging and uplifting so that they will regain their self-confidence and independence. Life is short so make it sweet. Fortunately, later developments like the Unified Licensing Scheme, albeit a reactionary response to events threatening to overwhelm TRAI (the Regulator), do pull Indian de-regulation ahead of even places like Hong Kong where a unified scenario is only just being discussed. Merits of particular aspects of de-regulation notwithstanding, the overseas investor expects to see a clear roadmap forward if the increase in permissible FDI to 74% has to hold any meaning. The recent imbroglio on the future of the 1900MHz band is an excellent opportunity for TRAI to use the controversy to draw up precisely such a map. Of equal concern to the foreign investor and something on which operators on both sides of the GSM-CDMA divide concur, is the demise of high margin demand. The future holds a long slog uphill for every rupee increase to the ARPU (Average Revenue per User). Making it more interesting is the futility of erstwhile successful product and marketing strategies under todays margin conditions. Additionally when one last looked, the government had its hand in the till for an unbelievable 22-25% of revenues in the form of license fees, revenue share and a second license fee through a disingenuous spectrum usage charge. With cellular collection rates at abysmal levels thanks to the pseudo-WLL/CDMA roll outs, the cellular operators look at additional infrastructure investments with trepidation. However, innovative value-added services being one of the few ways to elevate ARPUs out of their funk, invest they must. How intelligently they do so, decides their fate. The 2003-04 EDGE (Enhanced Data for GSM Evolution) deployment by some GSM operators is the sort of response one hoped to see. Cost effectively providing three times the data capacity of GPRS, EDGE gives operators like Bharti, Hutch and IDEA the delivery system to offer innovative information and entertainment based services, as well as economically venture into rural areas. Using the same TDMA (Time Division Multiple Access) frame structure as GSM, EDGE allows existing cell plans to remain intact. On the other hand it uses a new modulation scheme that is also used for UMTS/3G. This makes it a sort of half-way house to 3G, for those still brave enough to contemplate that option. However while EDGE was a smart decision, the jury is still out on 3G. Emulating European cellular operators whose track record belies such faith, some Indian cellular carriers have nevertheless started chalking out transition paths towards that Holy Grail. Even if the collection rates in India were not as dismal as they are, deploying 3G could be a disaster waiting to happen. It was heartening therefore when the Indian IT Minister stated last year that India aims to leapfrog to fourth-generation wireless technology, skipping 3G as it has not been found cost-effective. This is one of the rare occasions when the industry is well served by listening to its Minister. However these are mere words until the Honorable Minister first unfetters VOIP (Voice-over-IP). Unless the chastity belt around VOIP networks is discarded and they are allowed to mingle with the PSTN, India is going to tie itself into knots over 4G, inside which by the way, the pervasive theme is IP. Living outside India one usually lags behind unfolding events, but to the best of my knowledge even today the VOIP PSTN interconnect incredibly, remain illegal. One beneficial outcome to the 1996 fiasco surrounding the bids for regional circles has been an all around reluctance to consider further auctions, including for 3G. This saved Indian operators from the fate of their European counterparts. While Europes 3G license fees did nothing to secure a future for the technology, emerging OFDMA (WiFi/ WiMax MMDS) alternatives may very well deliver the coup de grace. Whatever the counter-arguments out there, the fact that 3G services in The UK still resort to distress sales of basic voice services to garner a customer base, says it all. Unlike EDGE, going 3G does not just involve software upgrades and the math becomes more daunting by orders of magnitude. For starters, the air-interface/ frame structure (WCDMA as against TDMA) is totally different. This means changes at every cell-site in the network. And then of course there is the entire wherewithal required to inter-operate with existing 2G elements of the network. An alternative however does exist, that until recently dare not speak its name for fear of the Telecommunication establishment. Contrary to negative press stemming largely from the large cellular operators, its possible to co-opt Wireless LANs (WLANs) into one eco-system with cellular networks. An EDGE-enabled cellular network patched into WLAN (WiFi/WiMax) networks in high density locations could allow Indian operators to deliver high-speed data services with laser precision exactly where required and at far less costs than in 3G-ing a similar area. I trust this is akin to what the IT Minister has in mind. Additionally, such meshed network could provide indoor voice connectivity over cell phones in broadband-enabled locations with poor cellular reception. An interesting twist comes from the recent furtive WiMax deployment in Japan by Vodafone and elsewhere by other marquee 3G operators, vidicating the position taken in this paper. The cellular operator may have to offer different fixed line/broadband type tariff structures in these locations, raising fears that they would eat into cellular revenues, But one has to wonder how much of the generated traffic would represent cannibalized revenue and how much would bring in incremental dollars from traffic presently going any way over fixed/wireless broadband and over the different flavors of Voice over Broadband (VoB) services used increasingly from precisely such locations. No one touts OFDMA air-interfaces as an alternative to WCDMA /3G. Its the integration of the two technologies that creates a potentially winning alternative, especially in the Indian context. Integrating selected WLAN Hot spots into a cellular network requires an IP Network Controller (INC), an IP access network, a patch to allow the WLAN access network to issue the relevant accounting information to the cellular AAA (authentication, authorization, and accounting) server and an investment in IP roaming. Barring a few more widgets, thats essentially it. Given the relative simplicity of this solution, anyone who has seen engineers sweat over cell site deployment in congested locations has to wonder why the operators have not already adopted WLAN to augment cellular coverage on the cheap. Costs aside, there is an interesting aspect of 3G technology that could force operators to consider OFDMA based options to augment cellular data delivery systems. It may not be common knowledge, but 3G differs from 2G (GSM) in one important aspect the interdependence of network quality. In 2G, high traffic in one location tends to introduce poor quality in just the particular cell covering that location. In 3G however, the bad quality also impacts surrounding cells because a cell size may vary depending on the traffic load it carries. Called cell-breathing this is due to the interdependence between capacity and coverage over WCDMA air-interfaces and could end up impacting voice quality. No service provider however, is going to jeopardize voice quality and capacity for the sake of data. This implies there are merits to a separate data-centric network. And if such options are available at least at the peripheries, at costs substantially lower than the vaunted 3G and if these options appear slated to become the bulwark of future 4G data delivery mechanisms, it then surely behooves the Indian cellular operator not to adopt the same blinkered thinking thats the hallmark of his European counterpart and to look seriously at a GSM/EDGE-WLAN based solution. It baffles why instead of prevaricating, the European and American cellular companies havent swooped in and massively sequestered wireless access for IP traffic from the fragmented but potentially formidable WLAN and Voice over Broadband (VoB) players. After all, at least for now the cellular operator holds all the cards. Only he gets to decide whether the customer receives a combined cellular + WLAN bill. This gives his combined cellular-WLAN service a killer advantage over any other Fixed/wireless broadband or Vonage-type VoB offering. By now the cellular operators could have usurped great chunks of IP traffic and decimated the upstart VoB players before they ever took root. Alternatively, just a declaration of intent could have the WLAN & VoB players scurrying to negotiate interconnect and revenue share agreements on terms that could only be favorable to the cellular operator. Its too obvious a scenario and one doesnt expect such shortsightedness to last. T-Mobiles extensive WiFi deployment in the USA and in Europe is apparently with such an end-game in mind. And so was, we hope, the honorable IT Ministers intention, when he squared off against 3G. The research The team next cultured these cells and exposed them to epigallocatechin-3-gallate (EGCG), the active ingredient in green tea. The cells were then stimulated with cytokine interleukin-1 beta or IL-1B, a protein of the immune system known to play a role in causing joint degradation in rheumatoid arthritis. The researchers focused on whether EGCG had the ability to block the activity of two potent molecules, IL-6 and cyclooxygenase-2 (Cox-2), which also play a role in breaking down bone in an RA joint. After the experiment, the team found that the two molecules were suppressed by the EGCG. But while the researchers stressed it is difficult to quantify exactly the effect of the suppression, the EGCG blocked them significantly. EGCG also blocked the production of prostaglandin E2, another compound that can cause joint inflammation. Anyone in the world By L. W. Seals Hello, how are you? Today, we are in "Sin City", otherwise known as Las Vegas. What a sight it is. We could only wish that you were here this afternoon to see how clear the sky is. It's Friday, and you can feel the energy in the air as everyone is preparing for the weekend. As always, I'm here to experience what Las Vegas has to offer when it comes to fine dining. Well, to have a little fun in the meantime too! What better place to start than the Bellagio? They have some of the most sought after clothing in the world, wonderful shows, and great gift shops. But we were interested in seeing what the buffet had to offer. Food is one thing at the Bellagio that you won't have to pay an arm and a leg for. An outfit is another story. A man in a blue suit walked toward me, and I asked him if he could direct me to the restaurant. He looked like an older version of Kevin Costner. Anyway, I made my way to the buffet, and thought, Sacramento needs one of these. Earlier, I'd watched a little of the Las Vegas Summer league. All the excitement caused me to work up an appetite. There were clams, crab, shrimp...I wasn't in the mood for barbecue today. I can eat as much barbecue as my stomach can handle once I get back to Sac. I'll head straight for A Southern Komfort Cafe. For some reason, I had a taste for seafood. I ate until the
button on my shirt was on the verge of popping. Then I thought, I wonder what show I'm missing right now. Is there a title fight going on at the MGM? At Bally's? Is there some famous comedian with a show lined up for later on? Only one way to find out. Well, I enjoyed my stay at the restaurant, and since I was not about to spend $300 on a shirt and pants, my stay at the Bellagio was going to come to an end. Anyone in the world By Kimberly Olver After presenting these ideas at the NAREN (National At-Risk Education Network) in Wisconsin last week, I was asked to write an article that would be able to reach more people to spread the exciting word about Dr. William Glassers work in the area of Quality Schools. There are many characteristics that are required in order for a school to be listed as a Quality School. There are currently 13 such schools in the country, with many more on their journey to become Quality Schools. In a Quality School, relationships are based upon trust and respect, and all discipline problems, not incidents, have been eliminated. Total Learning Competency is stressed and an evaluation that is below competence or what is now a "B" has been eliminated. All schooling as defined by Dr. William Glasser has been replaced by useful education. All students do some Quality Work each year that is significantly beyond competence. All such work receives an "A" grade or higher, such as an "A+". Students and staff are taught to use Choice Theory in their lives and in their work in school. Parents are encouraged to participate in study groups to become familiar with the ideas of Dr. William Glasser. Students do better on state proficiency tests and college entrance examinations. The importance of these tests is emphasized in the school. Staff, students, parents and administrators view the school as a joyful place. All of the above criterion must be in place to be listed as a Quality School. When a school is a Quality School, the dictates of No Child Left Behind take care of themselves. Now, of course there will be a few children who have totally rejected school that are unreachable but for the majority, they will learn and do quality work. The way to achieve this is to implement the three conditions of quality. First, the school and each classroom must create an environment that will meet the needs of the students, and consequently of teachers. All humans are born with five basic human needs. We have the need for survival, connection/love, power, freedom and fun/learning. This is true of students and teachers. In order to help students meet their need for survival, the school and classroom must be safe. They must feel that they wont be hurt physically or emotionally. When students feel safe, there is no need to threaten teachers or other students. In order for students to satisfy their need for connection/love, they must have a relationship with the teacher and the other students. They must believe that the teacher has their best interest at heart. The more you give love and connection away, the more they come back to you. In order to satisfy a students need for power, teachers must listen to and respect their students ideas and issues. This does not mean that teachers must agree with their students but they must at least let the students know that they are important. When students feel listened to and respected, they dont disrespect their teachers and they tend to listen more. For students to have freedom, they must have choices. They must not be bogged down in rules and regulations. When students have choices, they wont have the need to create destructive choices of their own. In school, learning should be fun. Learning is always fun when the learning is useful and the students want to learn what is being taught. Imagine students having fun learning! Isnt that the dream of teachers everywhere? When your students are having fun, you do too. I know this sounds like an impossible task but there are many schools doing just that with training in Dr. William Glassers Choice Theory. Creating a need-satisfying environment is what actually eliminates discipline problems. If someone has a legitimate, appropriate way to get his/her needs met, then there is no reason to create discipline problems. Switching courses over to a competency-based approach is critical to the Quality School concept. Students are not permitted to get credit for less than B work and they have opportunities to improve their work until it meets the minimum standard for a B. Concepts are taught in such a way that reduces the need for memorizing facts that can be found in any encyclopedia or text. This and more speaks to the second condition of quality that students will only be asked to do useful work. It is the teachers job to convince students that what they are being asked to do is useful in the real world. If you are successful in that endeavor, you will have willing students. Wouldnt that make your job more enjoyable for you? The final condition of quality is self-evaluation. Students are asked to grade their own work. There are two essential items that must be met in order to get accurate self-evaluations from students. First, they must have no fear that the teacher or anyone else will hurt them with an honest self-evaluation. Second, there must be a clear rubric in place that will give students a model against which to compare their own work. Self-evaluation does not replace the need of the teacher or teachers aide (another student already judged to be competent in that particular area) from corroborating the students self-evaluation. Students are not punished for less than competent work. Rather they are shown where their work is lacking and given the opportunity to fix it. This, again, is a skill that is seen everyday in the real world. Rarely do people actually loss their jobs for substandard work. They are told what is wrong and asked to fix it.
